Terms of Use Agreement for MALLAZY Platform
Last updated: October 2026
Introduction
These Terms of Service (referred to as the “Agreement” or the “Terms”) govern your access to and use of MALLAZY website, its companion mobile application, and all content, features, tools, and digital services offered through them.
Please read these Terms of Service carefully before you begin using the platform.
By using the platform, creating a user account, or clicking to accept the Privacy Policy, this Agreement, the Cookie Policy, and the Community Guidelines, you expressly acknowledge and legally agree — whether on your own behalf or as an authorized representative of your employer or any legal entity you represent — to be fully and unconditionally bound by:
- These Terms of Service.
- The payment terms and financial policies referenced in this document.
- MALLAZY's community standards and usage rules.
- All additional terms, policies, guidelines, or agreements attached to the platform, collectively referred to as the “Supplementary Terms.”
The provisions and appendices referenced above form an integral and inseparable part of this Agreement. You further acknowledge that you have read and understood our Privacy Policy.
If you do not agree to the Privacy Policy, this Agreement, the Cookie Policy, or the Community Guidelines, you must immediately stop accessing the platform or using its services.
Scope and Nature of the Service
MALLAZY platform is a digital environment and application owned by Malathy for Information Technology and Integrated Solutions LLC, which acts solely as a “technical intermediary.” Its purpose is to facilitate and organize access to professional services by connecting users seeking services (legal, accounting, or otherwise) with independent service providers registered on the platform.
The platform's responsibility is limited strictly to providing the technical infrastructure needed to display services and manage communication requests. All professional services are carried out entirely independently between the transacting parties (the client and the service provider), without any intervention or oversight from the platform, and each party bears full legal and professional responsibility for the obligations arising from that transaction.
By accepting these Terms, you acknowledge and agree that MALLAZY — in its capacity as a technical intermediary — holds no actual or legal authority to direct, supervise, or control how service providers carry out their work, and has no power to hold them professionally accountable beyond the technical measures available to it in the event of a breach of this Agreement.
Neither use of the platform nor registration on it creates any employment, agency, partnership, legal representation, or principal–agent relationship between the platform and any of its users.
Our customer support team is available during our officially published business hours to answer technical and operational questions.
I. General Provisions and Conditions of Use
1.1 Acceptance and Legal Commitment
This Agreement constitutes a valid, binding, and legally enforceable contract between you (as an individual, or as a representative of a legal entity) and our company. Your use of the platform constitutes an express acknowledgment that you meet the eligibility requirements and agree to be bound by this Agreement and its policies. If you do not agree, you are prohibited from using the platform or benefiting from it.
1.2 Right to Amend and Update
The platform reserves the sole right to modify, update, or change these Terms at any time to meet operational, administrative, or legal requirements. Your continued use of the platform after any amendments are published constitutes your implicit and explicit acceptance of them, and the updated text will always show the date it was last revised.
1.3 Restriction and Termination of Use
The platform reserves the absolute right — at its sole discretion and without prior notice — to restrict, suspend, or terminate any user's access to the platform or its services if that user breaches this Agreement, the Privacy Policy, or the Community Guidelines, or in order to protect the safety of the platform and its users.
1.4 Governing Law and Jurisdiction
This Agreement is governed by, and its terms shall be interpreted in accordance with, the laws in force in the Arab Republic of Egypt. Any dispute arising from it will be resolved in accordance with the arbitration mechanism set out in Section Twelve of this document.
1.5 Severability and Non-Waiver
Should any provision of this Agreement be found invalid or unenforceable under law, that invalidity will be limited to that specific provision alone, and all remaining provisions will continue in full force and effect. The platform's delay in exercising, or failure to exercise, any of its legal rights shall not be construed as a waiver of that right in the future.
II. Eligibility, Registration, and Account Rules
2.1 Legal Eligibility and Age Requirements
Users must be at least 18 years of age to create an account and transact independently on the platform.
Humanitarian exception: minors receiving services who face crimes or threats to their life or physical safety, or who are being threatened by their own caregivers, are exempt from this age requirement. They may seek consultative assistance, and the platform will, in its advisory capacity, direct them immediately to the appropriate official channels responsible for their protection (such as a child-protection helpline).
2.2 Account Creation and Data
Using the platform's services requires creating a user account. When registering, users agree to:
- Provide accurate, precise, complete, and up-to-date information as required during registration.
- Update their information immediately whenever it changes.
- Notify platform management immediately if they suspect their account has been compromised or detect any unauthorized use of their login credentials.
Providing inaccurate information, or failing to keep it updated, entitles the platform to suspend or immediately terminate the account.
2.3 Personal Responsibility for the Account
Users bear full personal and legal responsibility for keeping their login credentials (username and password) confidential, and are responsible for all activity carried out through their account. Delegating account access to a third party, or transferring the account, without the platform's written consent is strictly prohibited.
2.4 Representations and Warranties
By completing registration, users represent that they meet all legal eligibility requirements, and expressly consent to receive all notifications, correspondence, and electronic and promotional communications related to the platform through their registered contact details.
2.5 Dormant Accounts
If a user's account is classified as “dormant” (meaning no login or operational activity for a full calendar year), the account holder forfeits the right to claim any previously paid amounts or balances. Users may request technical reactivation of a dormant account through the available support channels.
III. Key Terms and Definitions
The following terms, wherever they appear in this Agreement, shall be interpreted in accordance with the meanings set out below:
3.1 The Platform: includes the website, mobile applications, and all official social media platforms and pages affiliated with MALLAZY.
3.2 Clients / Service Recipients: users (whether individuals or legal entities) who request professional services through the platform.
3.3 Service Providers: any individual or legal entity that independently offers legal, accounting, or other specialized professional services through the platform.
3.4 Users / Service Parties: a general term covering both “clients” and “service providers.”
3.5 Services: all offerings, consultations, and professional work available on the platform, including customized or promotional offers.
3.6 Requests: bilateral electronic agreements or contracts made between a service provider and a client through the platform's technical tools.
3.7 Request Page: the virtual interface designated for communication and the exchange of data and files between a client and a service provider regarding a specific request.
3.8 Service Provider Page (Profile): the independent profile page for a service provider, displaying their qualifications, CV, work history, ratings, and any other information they choose to include.
3.9 Blog: the digital space available within the platform for service providers to publish articles or specialized knowledge posts related to their work.
3.10 Custom Offers: technical and financial proposals a service provider presents to meet a specific client's particular needs.
3.11 Promotional Offers: marketing campaigns or exclusive benefits launched by the platform, which do not apply retroactively for the benefit of users who subscribed before the campaign launched.
3.12 Community Role: exclusive initiatives that allow service providers to voluntarily offer their services (free of charge or at preferential discounts) to community groups designated by the platform.
IV. Obligations and Responsibilities of Service Providers
4.1 Core Professional Obligations
- Service providers must carry out the requests they accept with the utmost professional care, and in accordance with the terms and deadlines agreed with the client — without any oversight, supervision, or direction from the platform.
- All information on their profile (including, without limitation, contact details, office locations, and professional title) must be true, accurate, and not misleading.
- Service providers must strictly comply with the professional rules and customs, and the laws and regulations, of the professional syndicate to which they belong (such as the Bar Association or the Commercial Professionals Syndicate).
- Service providers acknowledge that all documents, certificates, and licenses they upload are genuine, and they bear full civil and criminal responsibility for them, with the platform bearing no responsibility whatsoever for verifying or auditing them.
- Service providers may not offer any services if they have been struck off their syndicate's register, had their license suspended for any reason, or are subject to any administrative decision, criminal judgment, or disciplinary ruling that bars them from practicing their profession or providing related services.
4.2 Prohibited Conduct and Operational Violations
Service providers are prohibited from the following practices, any breach of which will result in an immediate, unannounced account ban or permanent deletion:
- Offering unlawful services or participating in fraudulent activity.
- Repeatedly cancelling accepted requests without a legitimate technical or unavoidable reason.
- Impersonating a lawyer, accountant, or practicing a legally regulated profession without holding the required official and syndicate licenses.
- Infringing the intellectual property or commercial rights of others.
- Publishing offensive, violent, obscene, or otherwise indecent content.
- Mistreating platform users or its administrative and operational staff.
- Accumulating a high rate of substantiated client complaints.
4.3 Reporting Mechanism and Handling of Violating Content
Any user or visitor may report published content that violates this Agreement or applicable law (such as intellectual-property infringement, defamation, fraud, or anything that conflicts with family values) through official support channels, along with a link to the content and a description of the violation.
The platform commits to the following actions:
- Confirming receipt of the report within 24 hours of submission.
- Reviewing and investigating the reported content within a maximum of 48 hours of receiving a complete report.
- Taking appropriate technical measures (removing the content, restricting the account, or permanent deletion), and the platform reserves the right to immediately notify the relevant security and judicial authorities if the conduct suggests a criminal offense.
4.4 Professional Service Providers
At its discretion, and based on performance-measurement algorithms, the platform may award a special badge (“Professional Service Provider”) to certain outstanding profiles. This badge remains a marketing tool that the platform may withdraw at any time if the service provider's ratings decline or complaints against them increase.
4.5 Pricing and Service Fees
- Service providers must set a clear, published price for their services (even if offered free of charge).
- Fees are entirely at the service provider's discretion and subject to bilateral agreement with the client, with no upper limit.
- Neither the platform nor any other user may interfere with, or object to, the pricing policy adopted by a service provider.
V. Platform Obligations and General Provisions for Users
5.1 Discretionary Grants and Privileges
The platform reserves the sole discretionary right to grant certain service providers temporary marketing or technical benefits or privileges based on their activity or community contributions (such as supporting priority-care groups). Such grants create no permanent vested right for the service provider, may not be relied upon to claim equal treatment or compensation, and the platform may modify or cancel these benefits at any time.
5.2 Ranking Mechanism and Visibility Algorithms
The order in which service providers appear in search results is governed by independent technical algorithms managed by the platform, based on variable factors (including, without limitation, specialty match, geographic scope, response speed, ratings, community participation, and subscription type). The platform has the absolute right to change these factors without notice, and the resulting ranking is final and may not be contested or grounds for a claim for compensation.
5.3 Marketing and Advertising
The platform commits to making reasonable operational efforts to market itself in accordance with its strategic plans, but this commitment does not constitute a guarantee of sales, commercial returns, or a minimum number of clients or requests for the benefit of service providers.
5.4 Accuracy of Information and Disclaimer of Warranties
Despite exercising ordinary care, MALLAZY does not guarantee the absolute accuracy, completeness, or continuous currency of the data, CVs, or articles published by users; such materials are provided for general informational purposes only.
Accordingly, service recipients are responsible for independently verifying a service provider's identity, professional title, and syndicate membership (whether by visiting their office in person or reviewing their syndicate card). The platform disclaims all responsibility for any failure by either party to carry out this mutual verification, as the platform's role ends once it facilitates the initial technical point of contact.
5.5 Opinions and Ratings
Ratings and comments published on the platform reflect solely the personal opinions of those who post them. The platform does not endorse them and bears no responsibility for negative ratings or the personal biases of users.
5.6 Prohibited Uses
All users are prohibited from using the platform to commit, or facilitate the commission of, the following acts:
- Violating the legal or personal rights of others.
- Attempting to hack or reverse-engineer the platform, or gain unauthorized access to its databases.
- Impersonating another person or identity.
- Inciting or assisting in the commission of crimes.
5.7 Prohibition on Automated Data Harvesting, Copying, or Disruption
Extracting or copying the data of registered service providers (such as phone numbers or email addresses) using automated software or bots is prohibited and constitutes an infringement of the platform's intellectual property rights. Any attempt to breach the platform, bypass its security systems, copy or steal its database, or use automated tools to flood the platform with requests will trigger liquidated damages of five million Egyptian pounds.
5.8 Confidentiality, Data Protection, and Cybersecurity
MALLAZY is committed to protecting users' personal and professional data in accordance with the data-protection legislation in force in the Arab Republic of Egypt. Such data may not be used or disclosed except for the platform's operational purposes, with the user's consent, or in compliance with a binding court order or legal obligation.
Clients may hold preliminary conversations without revealing their identity until they decide on a service provider. Parties to any conversation are prohibited from recording it, leaking it, or using it outside the platform.
5.8.1 Protection of Service Provider Data: professional data and licenses uploaded by service providers are used exclusively for internal verification and documentation purposes, and the platform commits not to share them with third parties for commercial or marketing purposes without explicit written consent.
5.8.2 Data Retention Period and Right to Deletion: the platform retains an active user's data for the duration of their subscription. Once an account is closed or terminated, the platform will retain financial and transaction records for the legally required compliance period (a maximum of one year from the termination date, unless the law requires otherwise). After that period, users may request the permanent deletion of their data, and the platform commits to fulfilling that request within 30 days of the deletion conditions being met, unless the data is the subject of an ongoing legal dispute.
5.9 Biometric Authentication and Account Security
Enabling fingerprint or facial-recognition login features constitutes agreement to the terms governing them, and users bear sole responsibility for the security of their personal device and any loss or compromise of it.
5.9.1 Account Security Guidelines: users must set strong passwords, update them periodically, and avoid using unsecured public networks (public Wi-Fi). Remember: we will never ask you to disclose your password or one-time security codes (OTPs) over the phone or by email, and sharing them with anyone else is entirely the user's own responsibility.
5.10 Third-Party Links
The platform bears no responsibility for the content, policies, or damages arising from external website links that may appear on the platform, and accessing them is entirely at the user's own risk.
5.11 User Feedback and Suggestions
By submitting suggestions or development ideas to platform management, you grant the platform a full, perpetual, and unconditional ownership right to use and develop them, without any obligation to provide financial or credit compensation.
VI. Subscriptions, Fees, and Financial Policy
6.1 Platform Subscription Rules
Service providers join the platform after their documents and licenses pass technical review. The platform has the absolute right to reject membership applications without stating a reason.
The platform may adopt and change periodic subscription packages or plans (paid or promotional), and users may not object to changes in financial policies or future package fees.
6.2 Payment Channels and Mechanisms
- Service Provider Subscription Fees: collected electronically through the payment gateways approved on the platform.
- Professional Service Payments: clients pay fees directly to the service provider, according to the mechanism and bilateral agreement between them. MALLAZY does not charge any percentage or commission on the value of these independent professional services.
6.3 Subscription Activation and Renewal
Subscriptions activate as soon as payment is confirmed and run for the period specified by the package. Subscriptions renew automatically, with fees deducted accordingly, at the end of each period unless the user disables auto-renewal in their account settings before the renewal date.
6.4 Refund Policy and Cancellation of Bilateral Transactions
Subscription fees paid to the platform are final and non-refundable, unless management decides otherwise on an exceptional, non-binding basis.
- Mutual Refund Obligations: a service provider must refund amounts collected directly from a client if: they cancel the appointment themselves, fail to deliver the agreed service or consultation, or materially breach the standards of their profession.
- Mutual Payment Obligations: a client must pay the full agreed fee to the service provider once the latter has exercised the care of “a reasonably prudent professional” in performing the work, regardless of whether the desired outcome was achieved (given that a service provider's obligation is one of diligence, not of achieving a specific result).
The platform does not intervene in disputes over service quality, is not a party to the refund or payment obligations described above, and its own refund policies do not apply to fees exchanged between the parties to a service.
6.5 Tax Compliance and Obligations
Service providers bear full, individual, and independent legal and financial responsibility for registering, collecting, and remitting all taxes legally due on their professional earnings through the platform (including VAT, commercial profits tax, and freelance-profession tax), and must issue electronic invoices or legal tax receipts to clients in accordance with the relevant instructions of the Egyptian Tax Authority.
VII. Disclaimers and Legal Limits of Liability
7.1 Warranty Limitations and Disclaimers
The platform provides its technical services “as is” and “as available,” without any express or implied warranties, including without limitation uninterrupted operation, freedom from temporary software errors, or that the output of independent professional services will match individual users' expectations. Badges or marketing campaigns do not constitute professional endorsements; they are merely organizational tools based solely on a user's technical behavior within the platform's digital environment.
7.2 Limits of Legal Liability and Disputes Between Parties
While accepting an offer through the platform creates a bilateral contractual relationship between the client and the service provider, the platform strongly recommends — particularly for long-term or high-value engagements — that the parties execute a signed, physical written contract outside the platform to define the scope of work and detailed obligations.
Neither MALLAZY, its management, nor its staff bear any civil, criminal, or compensatory liability for any damages or losses (direct, indirect, or consequential) arising from:
- Professional errors, negligence, or poor judgment on the part of a service provider.
- A service provider's delay or failure to perform the work.
- A client's failure to pay fees owed to a service provider.
- The outcome of court rulings, investigative decisions, or arbitration awards.
Users expressly acknowledge that the platform's role is purely that of a technical, organizational intermediary, and each user alone bears the consequences of their own choices and interactions.
7.3 Maximum Compensation and Liability Cap
Should a final, non-appealable court judgment hold the platform liable for any direct malfunction or damage suffered by a user, the maximum total compensation the platform may be required to pay shall not, under any circumstances, exceed the total fees or subscription amounts actually paid by that user to the platform during their most recent subscription cycle immediately preceding the violation.
VIII. Intellectual Property and Licensing Rights
8.1 Limited License
The platform grants users a limited, temporary, revocable, non-exclusive license to use the website and application for lawful personal and professional purposes, within the ordinary context of benefiting from the service.
8.2 Intellectual Property Protection Restrictions
Users are strictly prohibited from copying, modifying, reverse-engineering, distributing, or exploiting any content, code, trademarks, or databases owned by the platform or by other users without obtaining the legal owner's prior, explicit written consent.
8.3 Platform Rights
All interfaces, designs, code, algorithms, trademarks, and original content developed by the platform are the exclusive intellectual property of Malathy for Information Technology and Integrated Solutions LLC and its affiliated MALLAZY platform, and are protected under Egyptian law and international intellectual-property treaties.
IX. Miscellaneous Provisions and Technical Requirements
9.1 Cookies and Digital Analytics Tools
The platform uses advanced analytics tools (such as Google Analytics) and first- or third-party cookies to track and improve the user experience and to compile demographic reports for development purposes. Users may adjust their browser or device settings to disable this feature, in accordance with globally recognized privacy standards.
9.2 Assignment and Transfer of the Agreement
Our company has the right to assign this Agreement, or transfer all of its legal and operational rights and obligations, to a third party in the event of a merger, acquisition, or sale of assets, without needing prior user consent.
9.3 Incentive Programs and Activities
Any incentive programs, rewards, or referral schemes launched by the platform are subject to the terms and duration specified at the time of launch, and the platform has the absolute right to modify or cancel them immediately without prior notice, provided this does not violate applicable law.
9.4 Emergencies and Force Majeure
The platform is entirely exempt from liability for any delay, interruption, or failure in providing its services where this results from force majeure or sudden events beyond its will and control (such as natural disasters, wars, security unrest, sovereign decisions, disruption of internet or international telecommunications networks, large-scale cyberattacks, or cloud-hosting provider outages). The platform commits to making all reasonable technical efforts to restore operations as soon as the force majeure event has passed.
9.5 Electronic Legal Notices and Correspondence
Users agree to the legal validity of notifications, alerts, and correspondence sent to them electronically via their registered email, SMS text messages, or the application's internal push notifications, which shall take full legal effect as soon as they are technically transmitted.
X. Account Suspension and Termination
10.1 Grounds for Suspension and Deactivation
The platform may suspend or deactivate an account under the following circumstances:
- At the user's own request, through a formal request to close their account.
- Upon any breach of this Agreement or its associated policies.
- At the platform's proactive discretion, to protect the security of its software systems and prevent cyber threats.
10.2 Permanent Ban for Serious Violations
A user's account (client or service provider) will be permanently and immediately deleted, without warning, upon committing any of the following serious violations:
- Engaging in fraudulent activity, money laundering, or offering legally prohibited services.
- Deliberate, documented infringement of others' intellectual property or trademarks.
- Publishing or distributing pornographic material, or promoting obscene or indecent content.
- Forging professional documents or impersonating a licensed professional without official syndicate registration.
- Systematically and repeatedly cancelling transactions, or documented mistreatment of the platform's clients or staff.
10.3 Consequences of Account Termination
Termination of an account results in the immediate loss of the user's right to access the platform or to recover data, files, and conversations associated with the deleted account. The platform is not obligated to provide backup copies of accounts deleted due to serious violations.
XI. The Platform's Rights of Technical Oversight and Monitoring
11.1 Limits on Access to Conversations and Their Confidentiality
Subject to strict compliance with the confidentiality provisions of Clause 5.7, users agree to grant the platform limited and restricted technical access to internal conversation records, through designated and authorized staff on an exceptional basis, for the purpose of resolving technical and operational disputes between users, verifying reports and violations, responding to requests from official judicial investigative authorities, or monitoring and improving the quality of the technical system.
11.2 Verification of Data Accuracy
The platform has the right to verify the authenticity of documents and licenses submitted by its users, through any legal and practical means available, and may take precautionary measures on an account pending completion of that verification.
11.3 Precautionary Measures for Violations
If the platform is suspected of being used to facilitate unlawful transactions, it has the right to freeze accounts as a temporary precautionary measure and to cooperate fully with the relevant security and judicial authorities. The platform disclaims responsibility for any harm a user suffers as a result of these lawful precautionary measures.
XII. Dispute Resolution and Arbitration Mechanisms
12.1 Exclusive Arbitration Agreement
These Terms and this Agreement are governed by, and shall be interpreted in accordance with, the laws of the Arab Republic of Egypt. By accepting this Agreement, you expressly, finally, and irrevocably agree that any dispute, disagreement, or claim arising out of or relating to this Agreement, or your use of the platform, shall be resolved exclusively through “arbitration,” as the sole and exclusive legal means of resolving disputes between you and the company, and you expressly waive, under this clause, your right to bring a substantive lawsuit against us before the ordinary courts.
Exception to the Arbitration Clause: Malathy for Information Technology and Integrated Solutions LLC retains the right to apply directly to the competent courts of any type or level to seek interim or urgent measures, or to bring claims relating to (infringement of intellectual property rights, or claims of defamation, libel, or electronic slander directed against the platform or its trademark) without being obligated to await the outcome of arbitration proceedings.
12.2 Amicable Technical Mediation Service Between Users
Should a bilateral dispute arise between a client and a service provider concerning the quality of the professional work delivered or how a request was carried out, the platform offers an “optional amicable technical mediation” service to facilitate resolution between the parties, subject to the following:
- The aggrieved party submits a detailed complaint, supported by documented materials and conversation records, through the designated support channels.
- Platform management will review the complaint and examine the request's records and communications, without being bound by any fixed response deadline, given the complex nature of professional work.
- Nature of the Mediation Decision: any opinion or assessment issued by the platform in this regard is a purely advisory opinion, not legally binding on either party to the dispute, and serves only to help narrow the gap between their positions. Both parties retain their full legal rights to pursue arbitration or litigation to resolve their independent professional disputes, without any liability or interference on the part of the platform.
XIII. Final and Supplementary Provisions
13.1 Entire Agreement
These Terms, together with their associated policies (Privacy Policy, Payment Terms, Community Standards), constitute the complete, final, and sole agreement between you and MALLAZY regarding your use of the platform, and supersede all prior understandings, promises, or agreements (whether oral or written) relating to the same subject matter.
13.2 Survival of Provisions After Termination
The provisions of this Agreement remain in effect throughout the period of use, and continue to apply, as a matter of law, even after an account is closed or terminated, with respect to obligations that by their nature are meant to survive (such as intellectual-property provisions, disclaimers, the liability cap, and the arbitration agreement).
13.3 No Implied Waiver
The platform's failure to promptly demand compliance with any provision of this Agreement, or its delay in taking punitive or technical action against any violation, does not constitute an implied waiver of its right to enforce the contract and rely on its terms at any later time.
13.4 Governing Language for Interpretation
This Agreement was drafted in Arabic, which is the sole official version carrying legal authority before arbitration bodies and courts. Should this Agreement be translated into any other language, and any conflict or discrepancy in interpretation arise between the texts, the Arabic text shall prevail and take precedence.
13.5 Legal Validity of Electronic Records and Documents
Users expressly acknowledge and agree to the full legal and evidentiary validity of all records, data, files, archives, and electronic correspondence extracted from MALLAZY's technical systems and databases (including login records, conversations, request details and dates, and electronic notifications), and agree that these shall be treated as conclusive written evidence, carrying the same legal weight as official and customary electronic documents under the Electronic Signature Law and the Anti–Information Technology Crimes Law in force in the Arab Republic of Egypt.
13.6 Official Communication Channels
Users may reach our customer support and operations team, available during officially announced business hours, through the following exclusive channels:
- The official email address published on the platform's interface.
- The official phone numbers listed in the “Contact Us” section.
- The technical support and live-chat feature built into the platform and application.
